Our Board of Directors ensures the long-term success of Integris. They help us, and our subsidiaries, to set the strategic direction, plan for the future and provide overall oversight for our credit union.

Our Board


Integris’ Board of Directors consists of 10 members who help govern the operations of the credit union. Elected directors represent each of Integris’ six communities and govern on the board for a three year term before a new election occurs.

The Integris Directors Election will commence on Thursday, April 11, 2024 and end on Sunday, April 21, 2024. We encourage all members in good standing to vote in the election – as your vote determines the future of your credit union!

Directors are expected to bring a broad range of knowledge, skills and experience including:

  • Ability to deal with business, financial, and corporate issues
  • Understanding of the values of the Credit Union, Cooperative Principles, and the areas and communities Integris serves
  • Developing, understanding, reviewing and approving the corporate strategic plan, annual capital and operating plans and budgets, financial statements, and significant corporate actions including mergers, acquisitions and divestitures; monitoring performance against budget and strategic plans
  • Overseeing liquidity, funding and capital management

Directors spend approximately 10-20 hours per month on Credit Union business that may include:

  • Minimum of 6 Board Meetings are held per year
  • Board Committee meetings held quarterly
  • Annual General Meeting held annually
  • Strategic Planning Sessions (2-3 sessions held per year)
  • Conferences (the opportunity to attend up to 2 per year)
  • First Year required Education, continuous learning opportunities available
  • Reviewing the Financial Institutions Act, Credit Union Incorporation Act, Credit Union Regulations, the Credit Union Rules, and policies and information about Central 1 and Canadian Credit Union Association
  • Reviewing local and global economy and market information than may affect the Credit Union

Directors are remunerated with an Annual Honorarium, Meeting Stipends and for attendance to conferences and training.

  • Represent the interests of the membership
  • Provide leadership and direction to management
  • Enact and ensure adherence to corporate governance and enterprise risk management “best practices”
  • Ensure corporate policies are in place and, where applicable, review and approve Board policies
  • Plays an active role in the strategic planning process
  • Authorize the appointment of the Chief Executive Officer
  • Ensures the evaluation of the performance of the Chief Executive Officer is completed annually
  • Ensures the structure is in place to monitor and authorize compensation of the Chief Executive Officer
  • Ensure that an appropriate management succession plan is in place
  • Ensure enterprise risk is managed
  • Ensure the integrity of internal control and management information systems
  • Participate in the selection and through the Board Chair/Executive Committee participates in monitoring, evaluation and compensation of the Chief Executive Officer
  • Participate in the establishment of the credit union’s annual strategic plan and monitor progress
  • Be concerned with the organization, composition and continuity of the Board
  • Fully and actively participate in Board processes including community and credit union events
  • Regularly attend Board meetings, and those meetings of any committee on which the Director serves
  • Attend the annual general meeting and strategic planning sessions
  • Fully consider all material distributed to the Director in advance of any Board or committee meeting 
  • Ensure that appropriate information to support any material decision required of the Board is furnished by management, and that any action that is proposed be taken be delayed until such information is made available
  • Participate knowledgeably and meaningfully at board and committee meetings; ask appropriate questions of management
  • Be at least 19 years of age
  • Be an Integris Credit Union member in good standing for at least 12 months prior to the start of nomination period
  • Not be an employee, officer or director of a bank, trust company, loan company, savings and loan association, deposit-taking institution, lending institution or another credit union
  • Not be an affiliate, or the grandparent, parent, spouse, sibling, or child of a paid employee of Integris Credit Union and all subsidiaries (including not being an employee of Integris in the last three years)
